1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Settel website, dashboards, waitlists, and related services (collectively, the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
Settel is NOT regulated by the FCA. We do not provide regulated investment advice, manage client money or assets, or offer financial products. Outputs are informational only. Consult qualified professionals for tax or investment decisions.
2. Eligibility and Accounts
- You must be at least 18 years old. The Service is not for children.
- You must not be subject to sanctions or prohibited under applicable AML, export control, or other laws.
- You must provide accurate account information and keep credentials confidential. You are responsible for all activity under your account.
3. Acceptable Use
You agree to use the Service lawfully and not to:
- Violate sanctions, export control, AML, or anti-corruption laws.
- Scrape, crawl, harvest, or reverse engineer the Service except as allowed by law.
- Attempt unauthorized access, interfere with security, or test for vulnerabilities without permission.
- Upload unlawful content or use the Service for fraud, money laundering, or other prohibited conduct.
4. Service Scope and Availability
- The Service may change, suspend, or discontinue without notice. We do not guarantee uninterrupted or error-free operation.
- Beta or preview features may be unstable and are provided as-is.
5. Fees, Billing, and Refunds
- Pricing, plan features, taxes, and renewal terms are shown at checkout or in your account. Subscription plans renew automatically until canceled.
- Payments are processed by Stripe. Settel does not handle card numbers.
- Cancel before renewal to avoid future charges. Unless a written refund policy applies (e.g., stated money-back window), fees are non-refundable except where required by law.
- We may change prices with reasonable notice and apply changes at the next billing cycle.
6. Support and SLA
Support is provided on a commercially reasonable basis via email. No service-level agreement or uptime guarantee applies unless we agree in writing.
7. Intellectual Property
Settel and its licensors own the Service, content, and trademarks. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal purposes. You may not copy, modify, distribute, or create derivative works except as permitted by law.
8. Privacy and Data Handling
Use of the Service is subject to our Privacy Policy, Cookie Policy, GDPR page, and DPA (for business users). Account deletion removes active data within 30 days and backups within 90 days, subject to legal retention. Uploaded documents follow a zero-retention approach (extracted values only; originals deleted immediately).
9. Security
We employ encryption in transit and at rest, MFA for admins, role-based access controls, WAF/DDoS protections, and incident response with a 72-hour regulatory notification commitment where required. See the Security page for details.
10. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind. Forecasts, estimates, or reminders are informational only and may not reflect final tax outcomes. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Indemnity
You will indemnify and hold Settel harmless from third-party claims, damages, and costs arising from your misuse of the Service, violation of these Terms, or violation of law, except to the extent caused by Settel's breach of these Terms.
12. Limitation of Liability
To the fullest extent permitted by law, Settel will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits, revenue, data, or goodwill. Settel's total liability for all claims relating to paid services is capped at the fees you paid to Settel in the 12 months before the claim. For free or waitlist use, liability is capped at GBP 100.
13. Export Controls and Sanctions
You must comply with all applicable export control and sanctions laws. You may not use or access the Service in violation of UK, US, EU, or UN sanctions. You represent you are not located in an embargoed country and are not a prohibited party.
14. Termination
You may stop using the Service at any time. We may suspend or terminate access for misuse, legal risk, or non-payment. Upon termination: your right to use the Service ends immediately; any outstanding fees remain due; we will delete data per our retention schedule; and sections that should survive (e.g., IP ownership, indemnity, liability, dispute terms) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes, except that we may seek injunctive relief in any jurisdiction to protect confidential information or IP.
16. Changes to These Terms
We may update these Terms. Material changes will be communicated (e.g., email or in-product notice). Continued use after changes means acceptance. The "Last Updated" date shows the latest revision. Prior versions are available on request at privacy@settel.io.
